Job Description

*This role can be based in London, Oslo or Tilburg.
The Corporate Counsel will work with the Legal Department to support the Sales, Business Development, Human Resources, and Operations teams as a trusted business partner. The Corporate Counsel also will help ensure Everbridge’s compliance with applicable laws and regulations, and will help protect the company from legal action by reviewing and advising on contractual obligations. This position requires a focus on client service, professionalism, confidentiality, superior organizational skills, and a high level of attention to detail. Reporting directly to Everbridge’s Boston-based Senior Vice President and General Counsel, the Corporate Counsel will be based in our London, Oslo or Tilburg office and will have a unique opportunity to work closely with the EMEA management team and support all of Everbridge’s international operations.What you'll do:
  • Prepare, draft, negotiate, and finalize sales contracts, as well as confidentiality agreements, partner agreements, vendor agreements and other agreements, legal forms and policies.
  • Analyze contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations and Everbridge policies. Identify potential risk areas and propose solutions to issues encountered during negotiations and assist in solving problems that may arise during contract performance.
  • Assist with due diligence and customer contract requirements for acquisition transactions.
  • Master and seek to improve the internal contracting process through efficiencies.
  • Work in close collaboration with cross-functional teams and external vendors on a variety of contract matters.
  • Prepare and deliver training on contract processes, key contractual issues, and legal and compliance matters to global staff.
  • Undertake special projects on request.

What you'll bring:
  • Law degree and 5-8 years of relevant work experience as apart of an inhouse legal department.
  • Ability to interact and communicate effectively with individuals from multiple departments at all levels of the organization, as well as third parties.
  • Ability to make sound decisions, take independent action and juggle multiple transactions in a dynamic fast-paced, high volume environment.
  • Strong organizational and time management skills.
  • Excellent interpersonal, influencing, and negotiation skills, as well as excellent verbal and written communication skills.
  • Ability to apply creative problem-solving skills to legal and business challenges.
  • Strong planning, analytical, and project management skills.
  • Ability to execute and follow-through to completion and documentation.
  • Ability to work well independently and in a team environment with minimal supervision.
  • Independently motivated, detail oriented and good problem-solving ability.
  • Working knowledge of common business applications such as Word, Excel and PowerPoint.
Preferred Qualifications:
  • Fluency in French or German
  • Experience in a Software Company
